1. Acceptance of These Terms

Welcome to Ranklify.

These Terms of Service (“Terms”) govern your access to and use of the Ranklify website, applications, APIs, and related services (collectively, the “Service”), operated by YesWebsites Digital Agency (“Ranklify,” “we,” “our,” or “us”).

By creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms.

If you do not agree, you must not access or use the Service.

These Terms should be read together with our Privacy Policy.

2. Eligibility

You must:

  • be at least 16 years old
  • have the legal capacity to enter into a binding agreement
  • comply with all applicable laws while using the Service

If you are using Ranklify on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. About the Service

Ranklify is an AI-powered platform that assists users in creating, optimizing, scoring, monitoring, and managing product listings for e-commerce platforms including:

  • Amazon
  • Shopify
  • WooCommerce

We may introduce new features, modify existing features, or discontinue features at any time.

Nothing in these Terms guarantees the continued availability of any specific feature.

4. Account Registration

To use certain features, you must create an account.

You agree to:

  • provide accurate information
  • keep your information up to date
  • keep your password confidential
  • maintain the security of your account

You are responsible for all activities occurring under your account.

Notify us immediately if you believe your account has been compromised.

5. Subscription Plans

Ranklify currently offers:

  • Free
  • Pro
  • Agency

Current pricing, generation limits, and plan features are published on our Pricing page.

We reserve the right to change pricing or plan features in the future.

Price changes will not affect your existing billing period and will be communicated before renewal where required by law.

6. Billing

Paid subscriptions are billed in advance on a recurring basis.

Payments are processed by:

  • Lemon Squeezy
  • Paystack

depending on your billing region.

Card subscriptions renew automatically until cancelled. By paying with a card, you authorize us and our payment providers to charge your selected card for recurring subscription fees, and you are responsible for keeping your card details current.

Bank transfer and USSD subscriptions (via Paystack) do not renew automatically. Because there is no stored payment method to charge, we email you a reminder before your renewal date, and you must pay manually to keep your plan active. If payment is not received, your plan reverts to Free at the end of the current billing period.

7. Cancellations

You may cancel your subscription at any time.

Cancellation:

  • stops future renewals
  • does not affect the current paid billing period
  • takes effect at the end of the current subscription term

No partial-month credits are provided.

8. Refund Policy

Except where required by applicable law, subscription payments are non-refundable.

Because Ranklify provides immediate access to digital services and AI-generated content, we generally do not provide refunds for:

  • unused subscriptions
  • unused generations
  • partial billing periods
  • accidental purchases

If we determine that a billing error occurred, we may issue a refund at our sole discretion.

9. Usage Limits

Each subscription includes usage limits.

Examples include:

  • AI generations
  • API requests
  • storage
  • users
  • client workspaces

Unused monthly generations do not roll over.

Attempting to bypass plan limits is prohibited.

10. Acceptable Use

You agree not to:

  • violate applicable laws
  • infringe intellectual property rights
  • upload malicious software
  • interfere with the Service
  • attempt unauthorized access
  • bypass security controls
  • automate abuse of the Service
  • generate deceptive or fraudulent listings
  • misrepresent products
  • impersonate another person
  • harass or abuse other users
  • scrape or copy the Service
  • reverse engineer the platform except where prohibited by law

Agency customers may provide generated content to clients as permitted by their subscription.

11. User Content

You retain ownership of the information you submit (“User Content”).

This includes:

  • products
  • brands
  • keywords
  • listings
  • prompts
  • uploaded files

You grant Ranklify a limited, worldwide, non-exclusive license to host, process, store, reproduce, and transmit User Content solely to operate, maintain, secure, and improve the Service.

You are responsible for ensuring your User Content complies with:

  • applicable laws
  • marketplace policies
  • intellectual property rights
  • contractual obligations

12. AI Processing

The Service uses third-party artificial intelligence providers to generate content.

Your requests may be processed by providers including:

  • Anthropic
  • Google Gemini

By using AI features, you authorize us to transmit your submitted information to these providers solely for providing the requested Service.

13. AI Output

AI-generated output may contain:

  • inaccuracies
  • omissions
  • outdated information
  • factual errors

You are solely responsible for reviewing, editing, verifying, and approving AI-generated content before publishing or using it commercially.

Ranklify does not guarantee:

  • search rankings
  • SEO improvements
  • marketplace approval
  • sales
  • traffic
  • conversion rates
  • revenue

SEO scores are informational only.

14. Intellectual Property

Ranklify owns all rights in:

  • software
  • source code
  • user interface
  • branding
  • trademarks
  • logos
  • documentation
  • website content

Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, or create derivative works based upon the Service.

15. Feedback

If you submit suggestions, ideas, feature requests, or other feedback, you grant Ranklify a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without compensation.

16. Third-Party Services

The Service integrates with third-party providers including authentication, hosting, analytics, AI, payment, and email providers.

Your use of those third-party services may also be governed by their own terms and privacy policies.

Ranklify is not responsible for third-party services.

17. Availability

We strive to keep the Service available but do not guarantee uninterrupted access.

The Service may occasionally be unavailable due to:

  • maintenance
  • upgrades
  • infrastructure failures
  • internet outages
  • force majeure events

18. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE.”

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of:

  • merchantability
  • fitness for a particular purpose
  • non-infringement
  • uninterrupted availability
  • accuracy
  • reliability

19. Limitation of Liability

To the fullest extent permitted by applicable law:

Ranklify shall not be liable for any:

  • indirect damages
  • incidental damages
  • consequential damages
  • special damages
  • exemplary damages
  • punitive damages
  • lost profits
  • lost revenue
  • lost business
  • loss of goodwill
  • loss of data

Our total aggregate liability arising from the Service shall not exceed the total subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain liability limitations. In those jurisdictions, the above limitations apply only to the maximum extent permitted by law.

20. Indemnification

You agree to defend, indemnify, and hold harmless YesWebsites Digital Agency, its owners, employees, contractors, affiliates, and partners from any claims, damages, liabilities, losses, or expenses arising from:

  • your use of the Service
  • your User Content
  • your violation of these Terms
  • your violation of any applicable law
  • infringement of any third-party rights

21. Suspension and Termination

We may suspend or terminate your account immediately if:

  • you violate these Terms
  • you abuse the Service
  • payment cannot be collected
  • your activities threaten the security or integrity of the Service
  • required by law

Upon termination:

  • your right to use the Service immediately ends
  • unpaid fees remain payable
  • certain information may be retained where legally required

22. Export Compliance

You agree not to use the Service in violation of applicable export control or sanctions laws.

23. Force Majeure

We are not liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, internet failures, labor disputes, governmental actions, cyberattacks, or failures of third-party providers.

24. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

25. Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations.

If a dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the competent courts of Lagos State, Nigeria.

Nothing in this section limits either party’s right to seek urgent injunctive or equitable relief where appropriate.

26. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

27. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Ranklify regarding the Service.

28. No Waiver

Failure by Ranklify to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

29. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent.

Ranklify may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets.

30. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the “last updated” date and provide notice where required by applicable law.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
